1. Introduction

These Terms & Conditions ("Terms") govern your use of the services provided by Soul Connection, operating under the trading name Patricia K Taylor-Shipley ("we," "us," or

"our"). By accessing or using our services, you agree to abide by these Terms. If you do not agree with these Terms, please refrain from using

our services.

2. Services

Soul Connection offers personal development and coaching services designed to assist individuals in achieving personal and professional

growth. Our services may include online courses, coaching sessions, speaking engagements, and related offerings.

3. Privacy Policy

Your use of our services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal

4.Protection of the Services

  You agree not to reproduce, copy, sell trade, resell or exploit for any commercial purpose

any aspect of the Services or any associated materials.   4.2 You acknowledge and confirm that all intellectual property

and other proprietary rights in materials provided in connection with the Services, including without limitation copyright

and any rights in designs, are owned by me or my licensors and that you shall not acquire any rights in such materials,

use them for any commercial purpose or carry out any action inconsistent with such ownership.  

4.3 Should you become aware of any actual or threatened infringement by any person of the intellectual property

and proprietary rights referred to in clause 4.2, you undertake to inform me at once in writing.

5. Confidentiality and Non-Disparagement

  5.1 Each of us shall keep confidential all sensitive information relating to the other,

and the other members of the group (where appropriate) and my/their business (which in my case includes materials

provided in connection with the Services) and not use such information for any purpose other than that for which it was provided.

This clause 5.1 shall not apply to the extent that any information is required to be disclosed by law or by any court or public body

having binding authority to require such disclosure.   5.2 We each agree not to engage in any conduct or communications,

public or private, intended or likely to disparage the other (or other members of the group) or damage their interests.

6 Conduct

 6.1 You undertake to behave professionally, courteously and respectfully in all dealings with me, any person(s)

acting on my behalf and any other clients or other third parties to whom you may be introduced in connection with the Services,

to adhere to any programme rules which I may provide from time to time and not to carry out any action intended or likely

to bring me or the Services into disrepute.  

7. Payment and Fees

Payment for our services is typically outlined in individual

agreements or invoices provided to clients. Payment terms, including due dates

and methods of payment, will be specified in these agreements or invoices.

8. Cancellation and Refunds

Cancellation and refund policies may vary depending on the

specific service or engagement. Clients are encouraged to review the terms and

conditions outlined in their individual agreements for details related to

cancellations and refunds.

9. Intellectual Property

All content, materials, and intellectual property associated

with our services, including but not limited to course content, coaching

materials, and presentations, are protected by copyright and other intellectual

property laws. Clients are granted a limited, non-exclusive, and

non-transferable license to use these materials solely for personal development

and educational purposes.

10. Client Responsibilities

Clients are responsible for providing accurate and complete

information relevant to the services they seek. It is also the client's

responsibility to actively participate in coaching sessions, courses, or other

engagements to maximize the benefits of the services.

11. Confidentiality

We are committed to maintaining the confidentiality of

client information shared during coaching sessions or other engagements, in

accordance with our Privacy Policy.

12. Limitation of Liability

To the fullest extent permitted by law, Patricia K Taylor-Shipley, trading as Soul Connection, shall not be liable for any direct,

indirect, incidental, special, or consequential damages resulting from the use of our services.

You acknowledge that the Services involve coaching, education and personal development, that their effect depends on

your own level of engagement and commitment and that no specific results can therefore be guaranteed by me.

I accept no responsibility for any decisions made by you as a result of the Services.  12.2 My obligations are limited to

providing the Services as expressly described in these Terms & Conditions and no further warranties, representations

or assurances are given by me save to the extent that these are implied by and cannot be excluded under law.  

9.3 You acknowledge that I am not qualified medically and that the Services are not intended to be medical or therapeutic services.

You confirm that you are mindful of your own wellbeing and are wholly responsible for taking any medical

or therapeutic advice or treatment which is, or may be to your benefit, without guidance or involvement on my part.

9.4 You hereby indemnify me and any person(s) acting on my behalf in connection with the Services

for any and all losses, costs, claims or demands suffered by me or them arising as a result of your acts or omissions.  

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes

arising from these Terms will be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

You acknowledge that, in entering into the contract between us, you do not do so on the basis of, and do not rely on,

any representation, warranty or other provision except as expressly provided in these Terms & Conditions,

and all conditions, warranties or other terms implied by statute or common law are hereby excluded to the fullest extent permitted by law.

11.Termination

Either of us may terminate these Terms & Conditions immediately by giving the other party notice in writing (excluding email) where the other party:   11.1.1 Materially breaches any provision of these Terms & Conditions and fails to remedy the breach within 7 days of the first party serving written notice referring to this clause 11.1, specifying the breach and requiring it to be remedied (and any failure to pay Charges or Expenses when due is deemed a material breach); or   11.2 The contract between us terminates automatically on your or my death.   11.3 Either of us may terminate the contract between us with 30 days’ notice in writing (excluding email) to the other at any time.   11.4 Termination shall be without prejudice to the rights or obligations of either party accrued up to termination and all rights and obligations set out in these Terms & Conditions other than those contained in Section 1. Where any Services are partially completed at termination and not paid for in advance, I reserve the right to invoice a fair pro-rata amount of the total Charges for such Services. For any uncompleted Services paid for in advance, any reimbursement shall be in my absolute discretion.  

14. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Any changes will be effective immediately upon posting on our

website. It is your responsibility to regularly review these Terms for updates.
